1. This B2B platform for eAuctions and webshop purchases is only open for registered partners following below mentioned Terms and Conditions.

1. Diese B2B Plattform für eAuctions und Webshop Einkäufe ist nur offen für registrierte Partner gemäß unten genannten Nutzungsbedingungen.

2. By entering the B2B platform, participants agree to abide by the following terms and conditions.

3. Submission of false, incorrect, misleading or fraudulent documentation or a failure to comply or a breach of these terms and conditions by participant may result in disqualification from this and future purchases and other offerings and may result in the participant being subject to prosecution.

3. Vorlage falscher, unrichtiger, irreführender oder betrügerische Dokumentation, oder einer Nichterfüllung oder einer Verletzung dieser Nutzungsbedingungen durch den Teilnehmer, kann zum Ausschluss von diesem und zukünftigen Käufen und anderen Angeboten führen und kann darin resultieren, dass der Teilnehmer strafrechtlich verfolgt werden kann.

4. CDS reserves the right to audit all bids/purchases to ensure that the terms and conditions of this B2B platform have been met and to request additional information or supporting documents relating to them.

5. CDS reserves the right to amend or cancel the terms of this offer without notice.

6. CDS accepts no responsibility for bids which have been lost, or are late or misdirected.

7. The Participant agrees to CDS or other CDS Service Providers and/or their agents processing their data for the purposes of advising participants of other CDS offerings, promotions, new products and services and future market and quality control analysis.

8. The decisions of CDS in respect of any and all aspects of the promotion will be final and binding.

9. Participant agrees to co-operate with CDS to maintain the reputation of CDS brand, and to comply with any reasonable suggestions offered by CDS for the stimulation of sales and support of customers. Nothing herein shall restrict participants right to determine the resale price of the products.

10. Compliance with Laws

Competition laws : Participants must comply with the applicable laws and regulations governing fair trading and competition.

10. Einhaltung von Gesetzen

Wettbewerbsrecht : Die Teilnehmer müssen geltende Gesetze und Vorschriften, welche den fairen Handel und Wettbewerb regeln, einhalten.

Anti-corruption laws : Participants must comply with the applicable anti-corruption laws prohibiting bribes, kickbacks, money laundering or other corrupt practices.

Die Teilnehmer müssen geltende Anti-Korruptions-Gesetze, welche Bestechung, Schmiergelder, Geldwäsche oder andere korrupte Praktiken verbieten, einhalten.

Government sector sales rules : Participants must comply with the applicable laws and regulations relating to sales to government sector customers.

Vertriebsregeln für den Regierungssektor: Die Teilnehmer müssen geltende Gesetze und Vorschriften in Bezug auf Verkäufe an Regierungssektor-Kunden einhalten.

International trade laws : Participants must comply with the applicable import and export laws and regulations, including customs and taxation.

Internationale Handelsrechte : Die Teilnehmer müssen geltende Import-und Export-Gesetze und Verordnungen, einschließlich Zoll und Steuerwesen, einhalten.

Advertising standards : Participants must comply with the applicable advertising standards and ensure that advertising and promotional materials are fair, factual and complete.

Werbe Standards : Die Teilnehmer müssen geltende Normen für Werbung einhalten und sicherstellen, dass Werbung und Werbematerialien fair, sachlich und vollständig sind.

Trademarks Infringement : Participants must not engage in infringement of any trademarks and other intellectual property rights, including trading in branded products imported into the European Economic Area (EEA) or non-EEA member countries without trademark or right owner express written consent. Participant agrees not to resell the Products outside the EU and EFTA, unless otherwise agreed. Approval must be requested from the OEM office responsible for the territory where the Participant wishes to sell. Such approval will depend on, among other things, OEM sales and distribution strategy in the territory and the level of support that can be provided to SSP's customer for the Products. Participants will ensure that its customers also obtain OEM approval if they wish to resell Products outside the EU and EFTA.

Markenrechtsverletzungen : Die Teilnehmer dürfen sich nicht an Rechtsverletzung von jeglichen Handelsmarken und anderen Rechten an geistigem Eigentum beteiligen, einschließlich Handel mit Markenprodukten, importiert in den Europäischen Wirtschaftsraum (EWR) oder Nicht-EWR-Mitgliedsländern ohne Handelsmarke oder ausdrücklicher, schriftlicher Zustimmung des Rechteinhabers. Der Teilnehmer stimmt zu, die Produkte außerhalb der EU und EFTA nicht weiterzuverkaufen, sofern nicht anderweitig vereinbart. Genehmigung muss von jenem OEM Büro angefordert werden, welches für das Gebiet zuständig ist, in welches der Teilnehmer verkaufen will. Diese Genehmigung wird, unter anderem, abhängen von der Vertriebsstrategie im jeweiligen Gebiet und der Höhe der Unterstützung, welche SSP-Kunden für die Produkte zur Verfügung gestellt werden kann. Die Teilnehmer sorgen dafür, dass ihre Kunden auch OEM Genehmigung erhalten, wenn sie Produkte außerhalb der EU und EFTA verkaufen wollen.

11. Limitation of Liability:

IN NO EVENT WILL CDS, ITS SUPPLIERS, OR OTHER THIRD PARTIES MENTIONED AT THIS SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THIS SITE, ANY WEBSITES LINKED TO THIS SITE, OR THE MATERIALS OR INFORMATION OR SERVICES CONTAINED AT ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT CDS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
